1. INTENDED USE OF THE LIGHTHOUSE PROCESS

You agree to use the Lighthouse consultation process as designed, which is:

• A live, in-person or Zoom consultation between you (the loan officer) and the Realtor.
• A professional relationship-building tool intended to deepen trust and build long-term partnerships.
• A structured workflow where Realtors answer questions live while you guide the conversation.

Running the Lighthouse through email, text, or unattended use is not aligned with the intended design and may diminish results.

2. BETA SOFTWARE NOTICE

The Lighthouse Platform is currently in Beta, meaning it is still under active development.

By using the Platform, you acknowledge and agree that:

• You may encounter bugs, glitches, or unexpected behavior.
• Features may change, be added, or removed without prior notice.
• You will promptly report issues so UBP can address them.
• UBP does not guarantee uninterrupted or error-free operation.
• You accept the risks associated with using pre-release software.

3. USER ACCOUNT & LOGIN RESTRICTIONS

You agree to the following:

• Your login credentials are for your use only.
• You may not share your login with any other loan officer, real estate agent, assistant, or individual.
• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activity conducted within your account.
• UBP reserves the right to suspend or terminate accounts found to be shared or misused.

4. INTELLECTUAL PROPERTY

You acknowledge and agree that:

• All content, prompts, frameworks, output, strategies, workflows, methodologies, and processes inside the Lighthouse Platform are the exclusive intellectual property of UBP.
• This includes: The Lighthouse process, question sets, scripts, frameworks, analysis models, Realtor consultation methods, sales psychology systems, and all AI-generated output derived from UBP IP.
• UBP IP is protected by copyright, trade secret, and other laws.
• You are granted a limited, non-transferable license to use the output solely for your personal mortgage business.
• You may not resell, repurpose, license, publish, white-label, or redistribute any content or output without written consent.
• All rights not expressly granted are reserved by UBP.

5. AI OUTPUT DISCLAIMER

You understand and acknowledge that:

• Output is generated using UBP IP combined with advanced large language model technology.
• All responses, insights, and recommendations are interpretive and should be evaluated with your own professional judgment.
• UBP does not guarantee accuracy, completeness, or real-world applicability.
• You remain solely responsible for any actions taken based on the output.
• The Platform does not provide legal, compliance, underwriting, or financial advice.

6. RESTRICTIONS ON SHARING, COPYING, OR REPLICATING THE PLATFORM

To protect UBP's intellectual property, you agree that you will not:

• Share your login or allow others to run Lighthouse reports under your credentials.
• Copy, reproduce, or reverse-engineer any portion of the Platform.
• Create or attempt to create competing products or systems using UBP IP.

Violations may result in account termination or legal action.

7. NO WARRANTY (AS-IS SOFTWARE)

The Platform is provided "AS IS" and "AS AVAILABLE."

UBP disclaims all warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Accuracy of output
• Reliability of AI-generated content

Your use of the Platform is at your own risk.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• UBP is not liable for any direct, indirect, incidental, consequential, or special damages arising from your use of the Platform.
• This includes but is not limited to: lost revenue, lost referrals, lost customers, lost data, or business interruption.
• Your sole remedy for dissatisfaction with the Platform is to discontinue use.

9. USER RESPONSIBILITIES

You agree to:

• Use the Platform in compliance with all applicable laws and industry standards.
• Not misuse the Platform or its content.
• Provide accurate information when working with Realtors.
• Report bugs, issues, or errors promptly.

10. MODIFICATIONS TO TERMS

UBP may modify these Terms at any time. Continued use of the Platform constitutes acceptance of any updates.

11. TERMINATION

UBP may suspend or terminate access for:

• Login or account sharing
• Misuse or abuse of the Platform
• Violation of intellectual property restrictions
• Any behavior harmful to UBP or the system

Upon termination, you must discontinue all use of UBP IP.

12. GOVERNING LAW

This Agreement will be governed by the laws of the State of California, without regard to conflicts of law principles.

13. ACCEPTANCE

By signing up, logging in, or using the Lighthouse Platform, you acknowledge and agree that you:

• Have read and understood this Terms of Use Agreement.
• Agree to all restrictions, obligations, and conditions.
• Understand the Platform is in Beta and may contain bugs.
• Agree all content is UBP intellectual property.
• Agree that login sharing is strictly prohibited.
• Agree the Lighthouse process is to be conducted live with Realtors.
